TERMS OF USE

This page states the Terms of Use ("TOU") of the Deloitte India Alumni Website (herein after referred to as "DIA Website"), subject to which you may access this website. These TOU may be updated or modified by us from time to time without notice to you. You can review the most current version of the TOU periodically.

In India, this site is hosted and controlled by Deloitte Touche Tohmatsu India Private Limited (hereinafter referred to as "Deloitte")

A. ACCESS TO THIS WEBSITE

This website can be accessed only by former employees of Deloitte India subject to their complying with the Member registration process through this website. On successful registration by former employees of Deloitte, they will become a Member of the DIA Website and can access the DIA Website.

Member registration process

In order to register as a member, the following process needs to be completed :-

  1. Fill in true, accurate, current and complete information about yourself as prompted by the Registration form (such information being the "Registration Details")
  2. Accept the Terms of Use of the DIA Website by clicking to accept or agree to the TOU, where this option is made available to you by Deloitte during registration as a member. If you do not accept or agree with the TOU, then kindly exit the website.
  3. On submitting the duly filled-in Registration form Deloitte will scrutinize the same. Membership to the DIA Website will be subject to Deloitte's sole approval and no claims thereof can be brought in any court of law.

B. ADDITIONAL GUIDELINES OR RULES

In addition, when using particular section of the DIA Website, you and Deloitte shall be subject to any posted guidelines or rules applicable to such sections of the DIA Website, which may be posted from time to time. All such guidelines or rules, which may be subject to change, are hereby incorporated by reference into the TOU. Deloitte reserves the right to remove, change, update and modify such guidelines from time to time.

C. REGISTRATION OBLIGATIONS

In consideration of your use of the DIA Website, you agree to :

  1. Provide true, accurate, current and complete information about yourself as prompted by the Registration form (such information being the "Registration Details") and
  2. Maintain and promptly update the Registration Details to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or Deloitte has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Deloitte has the right to suspend or terminate your Membership and refuse any and all current or future use of the DIA Website (or any portion thereof) without any liability to you.

D. MEMBER ACCOUNT, PASSWORD AND SECURITY

If you register to become an Alumni member, you will receive a password and account designation upon Deloitte approving your Registration to the DIA Website. You are responsible for maintaining the confidentiality of the password and account designation and for restricting access to your computer. You agree to accept full responsibility for all activities that occur under your password or Membership. You further agree to :-

  1. Immediately notify Deloitte of any unauthorized use of your password or account or any other breach of security, and
  2. Ensure that you exit from your account at the end of each session. Deloitte cannot and will not be liable for any loss or damage arising from your failure to comply with this Section.

E. MEMBER CONDUCT

You understand and acknowledge that all information, data, text, software, photographs, graphics, video, messages or other materials ("Content"), publicly posted are the sole responsibility of the person from which such Content originated, i.e. you are entirely responsible for all Content that you upload, post or otherwise transmit via the DIA Website. Deloitte as such, cannot and does not guarantee the accuracy, integrity or quality of such Content. Under no circumstances will Deloitte or its affiliates or other Deloitte member firms, officers, agents or employees, as the case may be, shall be liable in any way for any Content, including, but not limited to any exposure to offensive, indecent or objectionable Content, any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted or otherwise transmitted via the DIA Website.

You agree not to use the Website for unlawful purposes.

You agree to not use the Service to :

  1. Take any action that might compromise the security of the Website, render the Site inaccessible to others or otherwise cause damage to the Website or the Content.
  2. Add to, subtract from, or otherwise modify the Content, or to attempt to access any Content that is not intended for you.
  3. In any manner that might interfere with the rights of third parties.
  4. Upload, post or otherwise transmit any Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable or contrary to public interest, public order or national harmony in all relevant jurisdictions;
  5. Impersonate, or falsely state or otherwise misrepresent your affiliation with, any person or entity, including, but not limited to, a Deloitte official, forum leader, guide or host;
  6. Upload, post or otherwise transmit any Content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under confidentiality and nondisclosure agreements);
  7. Upload, post or otherwise transmit any Content that infringes any patent, trademark, trade secret, trade name, copyright or other proprietary rights ("Rights") of any party;
  8. Upload, post or otherwise make available or transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
  9. Intentionally or unintentionally violate any applicable local, state, national or international law or any rules and any regulations having the force of law;
  10. You acknowledge that Deloitte cannot and does not pre-screen all Content, but that Deloitte and its designees shall have the right (but not the obligation) in its sole discretion to refuse or move any Content that is available via the DIA Website . Without limiting the foregoing, Deloitte and its designees shall have the right to remove any Content that it believes in good faith violates the TOU or that has been alleged to infringe any intellectual property or that is otherwise objectionable or illegal or that may hurt the sentiments of a fraction of people in its sole opinion, without being liable to you in any way for any loss or damage arising from such removal. You agree that you will evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. In this regard, you acknowledge that you may not rely on any Content created by Deloitte or submitted to Deloitte, including without limited information in Alumni Speak, Best Practices or other Deloitte Message Boards and in all other parts of the DIA Website.
  11. You acknowledge and agree that Deloitte may preserve Content and may also disclose Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to:
  1. Comply with legal process;
  2. Enforce the TOU;
  3. Respond to claims that any Content violates the rights of third-parties;
  4. Protect the rights, property, or personal safety of Deloitte, its users and the public.
F. SECURITY AND PRIVACY POLICY

The terms of the Deloitte India Security and Privacy Policies are incorporated herein for reference.

Deloitte Touche Tohmatsu has in place generally accepted standards of technological security for the purpose of protecting information provided by visitors from misuse, loss, or corruption. Only authorized personnel have access to personally identifiable information submitted through the Web site. Such employees are required to maintain the confidentiality of this sensitive data. The site collects only personally identifiable information that is specifically and voluntarily provided by visitors. You expressly understand and agree that Deloitte India shall not be liable to you for any direct, indirect, incidental, special, consequential or exemplary damages, including, but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses, resulting from: (i) the use of or inablilty to use the Website; (ii) unauthorized access to or alteration of your transmissions or data or Content; or (iii) any other matter relating to the website or (iv) any claim attributable to errors, omissions, or other inaccuracies in the site, the service and / or the content. If you are dissatisfied with the site, the service, the content, or with the terms of use, your sole and exclusive remedy is to discontinue using the site.

K. INDEMNITY

M. TERMINATION

  1. Members authorize Deloitte to send e-newsletter, news or other communications from time to time.

Entire Agreement: The TOU constitutes the entire agreement between you and Deloitte and governs your use of the website, superseding any prior agreements between you and Deloitte with respect to the use of the Website. You also may be subject to additional terms and conditions that may apply when you use or purchase certain third-party content, goods or service.
  3. Correction of Errors and Inaccuracies: The Content may contain typographical errors or other errors or inaccuracies and may not be complete or current or comprehensive Deloitte therefore reserves the right to correct any errors, inaccuracies or omissions and to change or update the Content at any time without prior notice.   4. Choice of Law and Forum. The TOU and the relationship between you and Deloitte shall be governed by Indian laws without regard to its conflict of law provisions. You and Deloitte agree to submit to the personal and exclusive jurisdiction of the courts of judicature at Mumbai.
  5. Waiver and Severability of Terms. The failure of Deloitte to exercise or enforce any right or provision of the TOU shall not constitute a waiver of such right or provision. If any provision of the TOU is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the TOU remain in full force and effect.
  6. Any rights not expressly granted herein are reserved by Deloitte.
